  • "Engagement Agreement" refers to the written letter of engagement issued when a client formally retains Ordelis for a matter.

2. Acceptance of Terms

By accessing or using this website, you accept these terms in full. If you do not agree with any part of these terms, please do not use the website.

Submitting an enquiry through our contact form or entering into an Engagement Agreement with Ordelis constitutes acceptance of these terms. These terms apply to all visitors and clients regardless of how they accessed the website.

You must be at least 18 years of age and have legal capacity to enter into agreements under Malaysian law to use our services. Organisations must be duly incorporated or registered under applicable Malaysian law.

3. Description of Services

Ordelis provides legal advisory services in the following practice areas: Banking and Finance Law, Environmental Compliance, and Consumer Protection Advisory. All services are provided by advocates and solicitors admitted to the Malaysian Bar.

The content on this website is provided for general informational purposes and does not constitute legal advice. A formal legal advisory relationship is established only upon the execution of an Engagement Agreement.

Service availability is subject to the capacity of our legal team and the nature of the matter presented. We reserve the right to decline any enquiry that falls outside our areas of practice or that presents a conflict of interest.

Our services are primarily directed at clients located in Malaysia. Engagements concerning matters governed by foreign law may be referred to appropriate counsel at our discretion.

4. Engagement Terms

4.1 Commencement

An engagement begins upon the signing of a Letter of Engagement and, where applicable, the payment of a retainer or initial fee. No advisory work is commenced prior to these steps unless expressly agreed in writing.

4.2 Scope

The scope of each engagement is set out in the relevant Letter of Engagement. Work falling outside the agreed scope may require a separate agreement or a variation to the existing engagement, which will be documented in writing.

4.3 Client Responsibilities

Clients are expected to provide accurate and complete information relevant to the matter. The quality of our advisory work is dependent on the information provided to us. Ordelis accepts no liability for outcomes arising from incorrect or incomplete information provided by the client.

4.4 Fees and Payment

Engagement fees are as described on this website or as set out in the Letter of Engagement. All fees are denominated in Malaysian Ringgit (MYR) and are exclusive of disbursements unless stated otherwise. Invoices are due within fourteen calendar days of issue unless otherwise agreed. Late payments may attract interest at the rate permitted under Malaysian law.

4.5 Refund Policy

Fees paid in advance are refundable on a pro-rata basis for work not yet commenced, subject to a reasonable administrative charge. Where work has been commenced, refunds reflect only the unearned portion of the engagement fee. Disbursements already incurred are non-refundable.

5. Acceptable Use

When using this website, you agree not to:

  • Submit false, misleading, or fraudulent information through any form on the website

Advisory notes, memoranda, and other documents prepared by Ordelis in the course of an engagement remain the intellectual property of Ordelis until fees are paid in full, at which point the client receives a licence to use those documents for the purposes for which they were prepared.

7. Confidentiality

Ordelis treats all client information as strictly confidential, consistent with our professional obligations under the Legal Profession Act 1976 and the rules of professional conduct of the Malaysian Bar. We will not disclose client information to third parties except where required by law, authorised by the client, or necessary for the conduct of the engagement.

Information submitted through the website contact form is handled in accordance with our Privacy Policy. Submission of an enquiry does not itself create a solicitor-client relationship or trigger confidentiality obligations until an Engagement Agreement is in place.

Nothing in these terms limits liability that cannot be excluded under Malaysian consumer protection law or professional conduct regulations.

10. Termination of Engagement

Either party may bring an engagement to an end by giving reasonable written notice, subject to the provisions of the relevant Engagement Agreement. Ordelis reserves the right to cease acting for a client in circumstances where professional obligations or the rules of the Malaysian Bar so require.

Upon termination, the client's file will be handled in accordance with our standard document retention policy and the requirements of the Legal Profession Act 1976.

11. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from the use of this website or from our engagement terms shall be subject to the non-exclusive jurisdiction of the courts of Malaysia, with Ipoh, Perak as the preferred venue.

We encourage clients who have concerns about our services to first contact us directly to seek an informal resolution. For fee disputes, the dispute resolution procedures of the Malaysian Bar may be applicable.

12. General Provisions

  • Entire Agreement: these terms, together with any Engagement Agreement, constitute the entire agreement between us in relation to your use of this website and our services.
  • Severability: if any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: a failure to exercise any right under these terms does not constitute a waiver of that right.
  • Assignment: you may not assign your rights under any engagement without our prior written consent.
  • Notices: formal notices should be directed to the contact details below.

13. Changes to These Terms

We may revise these terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the website after any revision constitutes acceptance of the updated terms. We will make reasonable efforts to notify existing clients of material changes that may affect their engagements.
