Reviewing a Corporate Loan Facility Before Signing

The Situation

A manufacturing company in Perak was about to finalise a term loan facility with a financial institution. Their in-house team had reviewed the documentation but was uncertain about several clauses, particularly around the financial covenants and cross-default provisions. They wanted an independent perspective before committing.

What Ordelis Did

We reviewed the full facility agreement and security documents, cross-referencing against BNM guidelines and standard market practice. We prepared a written advisory note identifying three clauses that warranted renegotiation, including a cross-default trigger that was broader than is typical for this type of facility.

The Outcome

The client was able to approach their bank with specific, reasoned amendments. Two of the three requests were accepted. The engagement took eleven working days from initial briefing to delivery of the advisory note. The client described the process as clear and without unnecessary complication.

Preparing a Manufacturing Operation for a DOE Compliance Review

The Situation

A mid-sized manufacturing firm had expanded its operations incrementally over several years without updating its DOE documentation accordingly. When notified of an upcoming scheduled review, management recognised that the current documentation no longer fully reflected actual operations. They had about six weeks before the inspection.

What Ordelis Did

We carried out a regulatory mapping exercise to identify which DOE licences and conditions applied to the expanded operations. Working through the existing documentation, we identified gaps and produced a prioritised list of corrective measures. We also reviewed the firm's scheduled waste management records, which had not been maintained consistently.

The Outcome

The firm addressed the priority gaps within the available timeframe. The DOE review proceeded without the issuance of any formal notice. The engagement covered approximately five and a half weeks in total. The firm has since maintained a more structured approach to its environmental documentation.

Bringing an E-Commerce Business into Regulatory Alignment

The Situation

An online retailer had been operating for three years and had accumulated a number of customer complaints that, while resolved informally, pointed to gaps in their policies. They were also aware that regulations covering e-commerce had developed and were unsure whether their current terms met current requirements under the Consumer Protection Act 1999.

What Ordelis Did

We reviewed the existing terms and conditions, return policy, and complaint-handling approach against the relevant provisions of the CPA 1999 and related regulations. We drafted revised versions of the key documents and produced a brief internal procedure for handling complaints in a way that met statutory expectations.

The Outcome

The business implemented the revised documents and procedure within two weeks. The engagement ran for just under three weeks. The client noted that the new complaint-handling approach had reduced the time spent on customer disputes considerably, as expectations were now set out more clearly at the point of purchase.
